Enterprise Terms and Conditions

1. Acceptance of Terms

These Terms constitute a legally binding agreement between the user and NPI Shield LLC. By
accessing or using the platform, you acknowledge that you have read, understood, and agree to be
bound.

 

2. Service Description

NPI Shield is a SaaS platform designed to provide monitoring, alerting, and informational insights
related to National Provider Identifier (NPI) usage. The Service is informational only and does not
constitute legal, regulatory, or compliance advice.

 

3. Data Sources & Limitations

The Service relies on third-party data sources. NPI Shield does not own, control, or verify all data. All
information is provided ‘as is’ and may contain inaccuracies, delays, or omissions.

 

4. No Reliance Clause

Users agree not to rely solely on the Service for compliance, billing decisions, credentialing, or legal
determinations. Independent verification is required.

 

5. No Guarantee of Detection

NPI Shield does not guarantee the detection, prevention, or identification of fraud, misuse, or
unauthorized activity.

 

6. Risk & Alerts Disclaimer

Alerts, risk scores, and notifications are algorithmically generated and are for informational purposes
only. They do not constitute evidence of wrongdoing or legal conclusions.

 

7. User Responsibilities

Users remain solely responsible for the security, monitoring, and proper use of their NPI. All actions
taken based on alerts are at the user’s discretion.

 

8. HIPAA & Data Use

The platform is designed to operate without Protected Health Information (PHI). Users agree not to
submit PHI unless a signed Business Associate Agreement (BAA) is in place.

 

9. Security Disclaimer

NPI Shield implements industry-standard security safeguards; however, no system can guarantee
absolute security.

 

10. Limitation of Liability

To the maximum extent permitted by law, NPI Shield LLC shall not be liable for indirect, incidental, or
consequential damages. Total liability shall not exceed fees paid in the preceding 12 months.

 

11. Indemnification

Users agree to indemnify and hold harmless NPI Shield LLC from any claims, damages, or liabilities
arising from misuse of the Service.

 

12. Billing & Subscription

All subscriptions are recurring and non-refundable unless otherwise stated in writing.

 

13. Termination

NPI Shield reserves the right to suspend or terminate access for violations of these Terms or misuse of
the platform.

 

14. Intellectual Property

All technology, content, and systems remain the exclusive property of NPI Shield LLC. Unauthorized
use is prohibited.

 

15. Dispute Resolution

All disputes shall be resolved through binding arbitration in the State of Florida.

 

16. Governing Law

These Terms are governed by the laws of the State of Florida.
